Reading this page means the following. These are the conditions on which Edgewood Consulting Group publishes this website. Anyone who visits it, reads it or makes any other use of it accepts them. A visitor who cannot accept them should leave the site. Our privacy notice, reachable from the foot of each page, sits alongside these conditions and is incorporated into them.
The site is descriptive, not contractual. Its pages give a general account of what Edgewood Consulting Group does so that a reader can judge whether a conversation would be worth having. No page constitutes an offer, a quote or a promise to carry out any piece of work. Work for a client happens only under an agreement that both sides have signed, and where a signed agreement and this site say different things, the agreement prevails.
Outreach to professionals. Edgewood Consulting Group writes, from time to time, to people whose jobs connect with the services described here, using their work email, and now and then reaches them by telephone or letter at their place of business. A reply asking us to stop is enough to end that contact, whatever words it uses. How such a request is handled is set out in the privacy notice.
Illustrations are made up. Every shelf drawing, chart, dashboard, table or figure shown on these pages, or in any sample reached from them, was created to explain our method. Nothing of the kind comes from a client's data, describes a client's results or predicts what any reader would achieve.
How the site may be used. Use it lawfully and without getting in the way of other visitors. Do not try to interfere with the site or the infrastructure behind it, do not try to reach parts of it or connected systems that are not open to you, do not probe or test it for weaknesses without written permission from us, and do not run automated tools to copy, scrape or harvest what is on it. We may cut off access from any source that appears to be breaking these conditions.
Ownership of the content. Everything on these pages, from the words and drawings to the logos and layout, is owned by Edgewood Consulting Group or used under license from its owners, and copyright, trademark and related laws protect it. Visitors may read the pages and print them for their own business reference. Reproducing, republishing, distributing or adapting the content in any other way needs our written consent. What a client may do with work we deliver is decided by the signed agreement covering that work, not by this page.
Third parties. These pages carry links into the main Edgewood site and pull their typeface from an outside font provider. Those services are run by others under their own conditions and privacy practices, which govern your use of them. We neither control them nor vouch for them, and a link is not an endorsement in either direction.
No warranty. We make the site available in the state it is in, which lawyers call "as is", and whenever it happens to be reachable, which they call "as available". To whatever extent the law allows it, every warranty is excluded, whether express, implied or arising by statute, including any implied warranty of merchantability, of fitness for a purpose, of accuracy, of non-infringement or of uninterrupted availability. What you read here is general information about a consulting practice. Do not treat it as professional, engineering, legal or financial advice, and do not act on it without advice suited to your circumstances.
Limits on our liability. Insofar as the law lets us limit it, neither Edgewood Consulting Group nor its owners, employees or agents will owe you anything by way of punitive, consequential, special, incidental or indirect damages, nor anything for lost profits, lost revenue, lost data, lost goodwill or lost business opportunities, connected in any way with using the site or being unable to use it, under any legal theory and regardless of whether the possibility was foreseeable. Whatever the claim and however many claims there are, the most we will owe in total in connection with the site is one hundred US dollars, and not a cent above that. Should a jurisdiction not permit a particular limitation, that limitation applies only as far as it is permitted.
Your responsibility for misuse. Should misuse of the site on your part, or a breach by you of these conditions, lead to a claim, loss, liability, damage or expense for Edgewood Consulting Group or its owners, employees or agents, you will compensate and hold them harmless, and reasonable attorneys' fees are included in what you will cover.
Applicable law and how disputes are decided. These conditions, and any dispute about the site, are governed by New Jersey law, that is, the statutes and case law of the State of New Jersey, with its conflict of laws rules left aside. A dispute that informal discussion cannot settle goes to binding arbitration before the American Arbitration Association, run according to that body's rules for commercial cases and held in Morris County, New Jersey. Both sides waive a court trial, save where the law forbids that waiver, and in that case the courts sitting in Morris County, New Jersey have exclusive jurisdiction. Either side remains free to ask a court for an injunction to protect intellectual property or confidential information.
Remaining points. Should a court or arbitrator find any part of these conditions unenforceable, the remainder stands, and the affected part is read as narrowly as needed to become enforceable. If we let a breach pass without acting, that does not surrender our ability to act on a later one. These conditions and the privacy notice together make up the whole understanding that you and Edgewood Consulting Group have regarding this website and supersede anything earlier on that subject. We can revise them. A revision is announced by the effective date under which the text is published, and visiting the site after that date signals acceptance of the revised text.
